The Prospective Supplier hereby acknowledges and agrees in advance that submitting and delivering the Prospective Supplier Application Form to Yılmaz Makine does not mean or imply that Yılmaz Makine will contact the Prospective Supplier, request additional information or documents, obtain a price quotation, include the Prospective Supplier in any tender or proposal process, or establish any supply relationship with the Prospective Supplier. The Prospective Supplier further acknowledges that none of such actions, if any, shall be interpreted as meaning that the Prospective Supplier is or will become a supplier of Yılmaz Makine.
The Prospective Supplier acknowledges that the application, evaluation, communication and any potential proposal or offer processes may require the expenditure of time, effort and costs, and hereby irrevocably undertakes and agrees in advance that it shall not make any financial or monetary claim whatsoever against Yılmaz Makine, under any name, including but not limited to costs incurred, hourly fees, damages, loss of business or loss of profit, arising from or in connection with such processes.
In addition, the Prospective Supplier hereby represents, warrants and undertakes that:
- the Prospective Supplier has acted and shall continue to act, in the performance of its activities, in full compliance with all applicable laws, rules, regulations and all orders and instructions of competent governmental authorities;
- the Prospective Supplier shall not infringe the intellectual and industrial property rights of Yılmaz Makine and any third parties, and shall refrain from any acts that may be deemed as infringement thereof;
- any and all information, documents, data and materials disclosed or made accessible to it by Yılmaz Makine, whether in written, oral, electronic or any other form, shall be deemed confidential information, and the Prospective Supplier shall take all necessary technical and administrative measures, in compliance with applicable legislation, to ensure the confidentiality and security of such confidential information;
- the Prospective Supplier conducts its business activities in accordance with the principles of protecting human health and the environment, and of using resources in line with the principle of sustainability;
- the Prospective Supplier keeps all financial and commercial records accurately and truthfully, and that such records shall be open to audit when required; and
- the Prospective Supplier has knowledge and experience regarding sensitive commercial matters such as bribery, money laundering, trade embargoes or restrictions, and export controls, and that the Prospective Supplier conducts its commercial activities in compliance with all applicable national and international rules and regulations in this respect.
